1 WHO WE ARE AND HOW TO CONTACT US

1.1 Who we are. We are Audi UK, a trading division of Volkswagen Group United Kingdom Limited, a company incorporated in England. Our registered office address is Volkswagen Group United Kingdom Limited, Yeomans Drive, Blakelands, Milton Keynes MK14 5AN. Our registered company number is 514809 and our VAT registration number is 217990930.

1.2 How to contact us. You can contact us by telephoning our customer service team at 08002792884 or by writing to us at digitalsupport.uk@audi.de or Audi UK, Customer Service, Selectapost 29, Sheffield, S97 3FG

1.3 How we may contact you. If we have to contact you we will do so by telephone or by email to you at the email address registered to your myAudi Account. You must have a valid e-mail account for the entire duration of the contractual relationship. Please let us know immediately of any changes to your telephone or email address.

2 THESE TERMS

2.1 What these terms cover. These Terms (as defined in clause 2.3 Definitions) apply to the ordering and payment for Audi Connect Products and Services through the myAudi Shops (each as defined in clause 2.3 Definitions). Each Contract (as defined in clause 2.3 Definitions) is incorporated into, and governed by, these Terms.

2.2 Why you should read them. Please read these Terms carefully before you submit an order. These Terms tell you who we are, how you may complete the order of Audi Connect Products and Services, how you or we may change or end a Contract or these Terms, what to do if there is a problem and other important information. If you think that there is a mistake in these Terms, please contact us to discuss.

2.3 Definitions. To make these Terms quicker to read, we use a few definitions:

2.3.1 Audi Connect Products and Services means any Audi Connect Products and Services which may be ordered and managed through any of the myAudi Shops;

2.3.2 Audi UK/we/us/our means Audi UK, as identified in clause 1.1 Who we are;

2.3.3 Contract means each contract for the purchase of one or more Products;

2.3.4 Dealer means the Audi authorised dealer that you have selected as your dealer in your myAudi Account;

2.3.5 General User means a user of Audi Connect Products and Services who does not have a myAudi Account where Products are supplied at the time of purchase or handover of the Vehicle;

2.3.6 Lease Arrangement means an arrangement whereby you lease a Vehicle under a contract purchase or contract hire agreement, or any other form of lease agreement;

2.3.7 myAudi Account means the account registered to you through the myAudi App or myAudi Portal;

2.3.8 myAudi App means the myAudi mobile application where you are able to register for and manage your myAudi Account;

2.3.9 myAudi Portal means the portal operated by AUDI AG, Auto-Uniion-Strasse 1, 85057 Ingolstadt, Germany at https://www.audi.co.uk/uk/web/en/owners/my-audi.html

2.3.10 myAudi Shops means the area of the myAudi App or myAudi Portal where you can view, order or manage Products available through Audi Connect Products and Services;

2.3.11 MMI means the in-car multimedia interface system installed in your Vehicle;

2.3.12 Primary User means the person who has registered for a myAudi Account in accordance with clause 3.1 and has linked their myAudi Account to a Vehicle using the Vehicle code;

2.3.13 Product means a particular product or service available as part of Audi Connect Products and Services and ordered by you under a Contract;

2.3.14 Secondary User has the meaning given to it in clause 3.3 Secondary users;

2.3.15 Terms means these Audi Connect Products and Services Terms and Conditions, including each Contract;

2.3.16 Third Party means a person authorised to use Audi Connect Products and Services by a Primary User, Secondary User or General User;

2.3.17 user/you/your means you, the person identified as the purchaser of a Product on the purchase confirmation and/or as a user of the myAudi App; and

2.3.18 Vehicle means your Audi vehicle registered in your myAudi Account.

2.4 References to ‘including’ and other similar expressions. In these Terms, words that appear after the expression ‘include’, ‘including’, ‘other’, ‘for example’, ‘such as’ or ‘in particular’ (or any similar expression) will not limit the meaning of the words appearing before such expression.

2.5 "Writing" includes emails. When we use the words "writing" or "written" in these Terms, this includes emails.

2.6 Waiver. If you breach these Terms and we choose to ignore your breach, we will still be entitled to use our rights and remedies at a later date or in any other situation where you breach these Terms again.

2.7 Language. These Terms may be presented to you in more than one language. However, the English language version of these Terms shall prevail. Each Contract between us will be concluded in English.

3 MYAUDI ACCOUNT

3.1 Your status. If you wish to order Products, you will need to sign up and create a myAudi Account. For that purpose, you must be 18 years of age or older.

3.2 myAudi Account. You must create a myAudi Account to place an order for any Products after purchase and handover of the Vehicle. You can sign up and create an account on the account registration page of the myAudi Portal. Creation and use of the myAudi Portal are governed by the myAudi Account terms of use. Where you create a myAudi Account, you will be asked to provide a user name and password. This will allow you to order and/or manage your Products and update or change your personal details and marketing preferences. You must keep the password secure and must not share it with any other person. We are not responsible for any misuse of your myAudi Account where you have caused your username and/or password to be known by another person.

3.3 Secondary users. You can authorise other people, known as a “Secondary Users” to purchase certain Audi Connect Products and Services through your myAudi Shop. Each Secondary User must register for a myAudi Account and submit their own payment details when purchasing any Product, and must comply with these Terms when using the Product.

3.4 General Users and Third Parties. General Users and Third Parties must comply with these Terms when using Audi Connect Products and Services General Users may purchase Audi Connect Products and Services via myAudi Shops, but must register as a Primary User or Secondary User to renew any existing Audi Connect Products and Services, (except where the Vehicle does not allow this).

3.5 Your liability for the acts of Third Parties. Where you authorise any Third Party to use any Audi Connect Products and Services, you shall indemnify us and our parent company Audi AG against any loss or damage costs or expense that Audi UK or Audi AG may suffer or incur as a result of or in connection with any act or omission of the Third Party, or any breach by the Third Party of these Terms, or any illegal or abusive use of any Audi Connect Products and Services or any infringement of third party rights.

3.6 myAudi Shops. You can log in to your myAudi Account through your Vehicle’s MMI or the myAudi Portal or MyAudi App. Through your myAudi Account, you can review and update your personal details, and review your order details, messages, and any existing functions that you have purchased.

3.7 Breach of security. You must tell us as soon as possible if you think your password has been shared or your myAudi Account has been accessed without your authority. We may disable your account immediately if we know of or suspect any misuse.

3.8 Changes to your details. Please keep us informed of any changes to your name, address, or other personal details.

3.9 myAudi Shops. We try to make the myAudi Shops available through the myAudi App or myAudi Portal or your Vehicle’s MMI at all times, but, of course, due to the inherent nature of online and internet based services, we cannot guarantee this. We try to make the Products available to purchase at all times through the myAudi Shops but may be unable to offer any Products from time to time, for example where we need to comply with any law or regulation which affects any Products.

4 YOUR PRIVACY

4.1 Privacy Statement. We take your privacy very seriously. Please read our Privacy Statement to see how we use your personal information. You must make sure any Secondary User who is authorised to purchase Audi Connect Products and Services also reads our Privacy Statement (please see clause 3.3 Secondary users). General Users and Third Parties should also read our Privacy Statement.

5 THE NATURE OF OUR CONTRACT WITH YOU

5.1 Availability of Audi Connect Products and Services. Audi Connect Products and Services are only available on certain models of Vehicle as indicated in the applicable Vehicle specification, available in catalogues, the configurator or in myAudi Shops. Products may not be available for purchase on all models. Availability may depend on the necessary hardware and software being been pre-installed. Depending on the type and configuration of your Vehicle, different Audi Connect Products and Services may be available to you. The description and disclaimer of each of the relevant Audi Connect Products and Services within myAudi Shops sets out a breakdown of availability by Vehicle model. .

5.2 Items pre-installed on your Vehicle. Where Audi Connect Products and Services is available for your Vehicle, your Vehicle will be installed with hardware and software to provide you with certain functionality ready for activation as part of Audi Connect Products and Services. When you purchase a Product we will remotely activate the relevant hardware and/or software to enable that functionality in your Vehicle. In doing so, our Contract with you in relation to any Product is for the provision of a one-time activation service and the delivery of digital content in the form of an authentication / activation token. You will be able to use the Product that you have purchased for the duration of your Contract. You agree that we may start the activation service straight away, but that you will have a right to cancel within 14 days if you change your mind (please see clause 11 Cancellation or Renewal of your Contract).

5.3 Continuing service. Certain Products involve us providing you with a continuous service such as the ability to stream digital content or access online data hosted by us, as described in the description of the Product in the myAudi Shops.

5.4 Additional Terms and Conditions. Certain Products may be subject to separate terms and conditions (including those of one or more third parties) which will be made available to you when you purchase your Product. You must comply with any additional terms and conditions in addition to these Terms when using your Product.

6 PROCESSING YOUR ORDER

6.1 Your Contract with Audi UK.

6.1.1 Time of Purchase. You may purchase Audi Connect Products and Services (i) at the time of purchase of your Vehicle, or (ii) at any time after purchase and handover of your Vehicle, through the myAudi Shops.

6.1.2 Your order. Your order for any Product is an offer to purchase that Product from Audi UK. In order to purchase or renew any Product after purchase and handover of your Vehicle, you will need to create a myAudi Account (see clause 3 myAudi Account above for more details) and be logged in to that account in order to place and finalise an order through the myAudi Shops.

6.1.3 Selecting the Product. myAudi Shops will display details of all Products available to you, including description, price, payment terms, any restrictions or conditions of use and any special terms relating to that Product (if any). You may select one or more Products and add these to your order.

6.1.4 Reviewing your order. Before placing your order, the check-out process will display the total price (including VAT) for all Products in the order. You will be given the opportunity to review and amend your order, including correcting any errors in your order information. Please take the time to read and check your order at each page of the order process.

6.1.5 Consent where you lease your Vehicle. If you lease your Vehicle under a Lease Agreement, your order for any Product is subject to the consent of the lessor named on your Lease Agreement, unless your Lease Agreement specifically permits you to order Audi Connect Products and Services. You are solely responsible for obtaining such consent from the Lessor.

6.1.6 Accepting terms of contract. You will be asked to click to confirm that you accept these terms of purchase for Audi Connect Products and Services. If you do not wish to be bound by what you read, you should not order any Products.

6.1.7 Acceptance of your order. Once you have submitted your order details and we have processed the payment for your selected Product, you will see an on-screen confirmation of your purchase. The Contract between you and us will be formed when we confirm your purchase which is when you receive a receipt for your payment and confirmation of your purchase by email.

6.1.8 If we cannot accept your order. If we are unable to supply you with your selected Product, for example because of an error in the price on the myAudi Shops or a technical problem, we will inform you of this by email and we will not process your order. If you have already paid for the Product, we will refund you the full amount as soon as possible, by the same method in which the payment was originally made.

6.1.9 Review your purchase. We keep a record of all Products that you have purchased in the myAudi Shops, which you can view at any time through the myAudi App or myAudi Portal or your Vehicle’s MMI by logging-in to your myAudi Account.

7 PRICING AND PAYMENT

7.1 Where to find the price for the Product. The price of any Product (which includes VAT) will be the price displayed on the myAudi Shops when you place your order to purchase the Product. We take all reasonable care to ensure that the price of the Product advised to you is correct. However please see clause 7.4 Secure payments for what happens if we discover an error in the price of the Product you order.

7.2 When you must pay and how you must pay. We accept payment by credit or debit card as set out in myAudi Shops. Payment will be made in full at the time of purchase.

7.3 Payment card information. If your card has been cancelled, expired or has otherwise changed, please inform us immediately. If any refund is due to you and is made to your original card, you may need to coordinate with your bank or your payment services provider to obtain your refund.

7.4 Secure payments. Where you make any payment through the myAudi Shops in connection with your purchase, we use a secure payment portal and will ensure that your payment card information is kept secure.

8 DELIVERY

8.1 When we will provide the Product. Where you purchase any Audi Connect Products and Services through myAudi Shops, your Product will be activated automatically immediately via remote access following confirmation of your purchase, and (provided a sufficient data connection is in place) will be available to you shortly after you receive your confirmation of purchase, immediately or when you next start up your Vehicle. Where you purchase any Product when you purchase your Vehicle your Product will be activated immediately following handover of your Vehicle. If the Product comprises a continuous service such as the ability to stream digital content or access online data hosted by or on behalf of us, we will supply the services or allow you to stream digital content until the end of your fixed term Contract.

8.2 Network Services. Certain Audi Connect Products and Services depend on an active SIM card being pre-installed or inserted by you and/or there being an active GNSS (global navigation satellite system) signal. Activation and use of your Product may be affected as a result of matters outside of our control, such as issues with telecommunications or network, adverse weather, geographical issues or obstacles (such as buildings or tunnels), or your deactivation of the SIM card.

8.3 We are not responsible for delays outside our control. If our activation or delivery of any Product is delayed by an event outside our control (including issues affecting suppliers of traffic data, network operators, software providers or other third parties involved in the operation of the Product), then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Provided we do this we will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact us to end the Contract and receive a refund for any Products you have paid for but not received.

8.4 Our right to temporarily suspend any Products. Where any Product involves a continuous service such as the ability to stream digital content or access online data hosted by or on behalf of us, we may have to suspend the supply of a Product to your Vehicle in order to:

8.4.1 deal with technical problems or make minor technical changes;

8.4.2 update the Product to reflect changes in relevant laws and regulatory requirement, or for any export control or sanctions regulations, or for other legal reasons; or

8.4.3 make changes to the Product as notified by us to you (see clause 9 Changes to your Contract).

8.5 Your rights if we suspend the supply of Products. We will contact you in advance to tell you we will be suspending any Product, unless the problem is urgent or an emergency. If we have to suspend the Product for longer than 3 days in any 6 month period we will adjust the price so that you do not pay for Products while they are suspended.

8.6 If you sell your Vehicle. If you decide to sell your Vehicle before the end of the term of your Product, or (where you lease your vehicle under a Lease Agreement, return your Vehicle at the end of the term of the Lease Agreement), you should disengage the Vehicle from your myAudi Account immediately, which remains entirely your responsibility and not the responsibility of Audi UK. The Product is specific to the Vehicle and not you as an individual, so will remain available to the buyer of your Vehicle or to the lessee or subsequent buyer of your Vehicle for the remainder of the term of the Contract and cannot be separated from, or sold separately to, the Vehicle. You must inform any buyer of the Vehicle of Products activated and these Audi Connect Product and Services Terms and Conditions. You must also delete any personal data stored in the Vehicle, and hand over the Vehicle code to the buyer.

8.7 Where you sell your Vehicle, it is entirely your responsibility to claim from the buyer of your Vehicle (whether through the sale price of the Vehicle or otherwise) any money that you have already paid for the Product to the extent the buyer will benefit from this. Under no circumstance will we refund or otherwise compensate you any money that you have already paid for the Product that you have failed to recover from the buyer of your Vehicle, or (where you lease your vehicle under a Lease Agreement) that you forfeit when you return the Vehicle.

9 CHANGES TO YOUR CONTRACT

9.1 Your right to make changes. You will have the opportunity to review, change and confirm your order through the myAudi Shops prior to confirmation of your purchase.

9.2 Our rights to make changes to your order.

9.2.1 Changes to specifications. We may, from time to time, make minor changes to our Product specifications to implement small technical adjustments or to to reflect changes in relevant laws and regulatory requirements. We will not make any significant changes to any Product unless we have told you about the changes.

9.2.2 Changes to prices. We may change prices for Products from time to time. New prices will come into force only in relation to new purchases.

9.3 Updates to any continuing service or digital content. Certain Products involve a continuous service such as the ability to stream digital content or access online data hosted by or on behalf of us. Where this is the case, we may make updates to the functionality or data which forms part of any Product to make improvements, provided that the service shall always materially match the description of it that we provided to you before you bought it.

10 CANCELLATION OR RENEWAL OF YOUR CONTRACT

10.1 Cancelling your order before payment. You will have the opportunity to review and either confirm of cancel your order of any Product through the myAudi Shops prior to confirmation of your purchase.

10.2 Your right to cancel or change your mind after payment (Consumer Contracts Regulations 2013). You will have 14 days after the day we confirm your purchase to cancel any Product, and we will refund the full price you paid for that Product to the card that you used to pay. To cancel any Product you can click on “withdraw from the product” on myAudi Shops, or contact us as set out in clause 1.2 (Contact us).

10.3 Other rights to cancel the contract. We may (in our absolute discretion) agree to cancel the Contract with you if you change your mind after the end of the 14 day cancellation period set out in clause 11.2 above. Please write to us using the address given in clause 1.2 How to contact us.

10.4 Ending a defined term Contract. When you purchase a Product you will be asked to confirm the period for which you wish this to run (e.g. 1 month, 12 months or lifetime of the Vehicle). Such defined term Contract for any Product will automatically expire at the end of the term set out in your confirmation of purchase. After expiry, you may renew the Product and this will be a new Contract for your chosen term.

11 IF THERE IS A PROBLEM WITH ANY PRODUCT

11.1 Telling us about issues. If there is a problem with any Product that you have purchased, please let us know by telephoning our digital support team at the details given in clause 1.2 How to contact us. Alternatively, please speak to your Dealer.

11.2 Our liability. Our liability for any defects in Products with a fixed term will last for one year from the date the Product was activated. Our liability for defects in any Products activated for the life of the Vehicle will last for six years from the date the Product was activated.

11.3 Resolving any issues. When you tell us about any issue with a Product that you have purchased, we will confirm that we have received your report and will try to resolve the issue as soon as possible. If the issue is with the activation of any Product, we will take steps to resolve this as soon as reasonably possible by re-performing the activation service. If we think the issue lies in the hardware or software installed on your Vehicle, we may ask you to take your Vehicle to a service centre for repair or replacement of the hardware or software under the terms of your Vehicle’s warranty (where applicable). If your Vehicle is outside warranty, any repair or replacement of hardware or software may be subject to additional charges. If the issue lies with the continued service or delivery of digital content, we will investigate and take steps to resolve this, which may include liaising with any third party provider of service or digital content. If we cannot resolve the issue within a reasonable time, you may end the Contract and get some of your money back (see clause 13 Your rights to end the contract before the end of its term) but you must give us the opportunity to attempt to resolve the issue first.

11.4 Summary of your legal rights. We are under a legal duty to supply Product that are in conformity with the Contract. See the box below for a summary of your key legal rights in relation to the Product . Nothing in these Terms will affect your legal rights.

Summary of your key legal rights

This is a summary of your key legal rights. These are subject to certain exceptions. For detailed information please visit the Citizens Advice website www.adviceguide.org.uk or call 03454 04 05 06.

Where your Product comprises services, for example the activation of hardware and software pre-installed in your Vehicle, or the provision of data/digital content or access to database the Consumer Rights Act 2015 says that you can ask us to repeat or fix a service if it is not carried out with reasonable care and skill, or get some money back if we cannot fix it.

If your Product comprises digital content, for example a subscription to digital radio or other aspects of infotainment, the Consumer Rights Act 2015 says digital content must be as described, fit for purpose and of satisfactory quality:

● If your digital content is faulty, you are entitled to a repair or a replacement.
● If the fault cannot be fixed, or if it has not been fixed within a reasonable time and without significant inconvenience, you can get some or all of your money back.
● If you can show the fault has damaged your device and we haven't used reasonable care and skill, you may be entitled to a repair or compensation.

See also clause 10.2 (Your right to cancel or change your mind after payment).
11.5 Your obligation with regards to rejected Product . If you wish to exercise your legal rights to reject or cancel a Product , we will deactivate it with immediate effect.

11.6 IMPORTANT DISCLAIMER. YOUR CONTRACT IS FOR THE ACTIVATION OF A PRODUCT THROUGH HARDWARE AND SOFTWARE PRE-INSTALLED ON YOUR VEHICLE. WE ARE NOT RESPONSIBLE FOR ANY FAULT WITH HARDWARE OR SOFTWARE INSTALLED ON YOUR VEHICLE, OR ANY VIRUS OR OTHER ISSUE AFFECTING THE HARDWARE WHICH PREVENTS ACTIVATION OF YOUR PRODUCT. WHERE YOUR VEHICLE OR THE APPLICABLE HARDWARE OR SOFTWARE IS UNDER WARRANTY, THE DEALER RESPONSIBLE FOR WARRANTY CLAIMS IS RESPONSIBLE FOR CORRECTING ANY DEFECTS IN THE HARDWARE OR SOFTWARE SUBJECT TO THE TERMS OF YOUR WARRANTY. WHERE A PRODUCT INVOLVES THE STREAMING OF THIRD PARTY DIGITAL CONTENT, WE ARE NOT RESPONSIBLE FOR THE QUALITY OR AVAILABILITY OF SUCH CONTENT. ADDITIONAL DISCLAIMERS IN RESPECT OF A PARTICULAR PRODUCT MAY BE SET OUT IN THE TERMS AND CONDITIONS RELEVANT TO YOUR PARTICULAR PRODUCT .

12 WHERE WE MAY END ANY CONTRACT

12.1 We may end any Contract if you break it. We may end the Contract for a Product at any time by writing to you if:

12.1.1 you do not make any payment under the Contract when it is due and you still do not make payment within 14 days of being reminded that payment is due;

12.1.2 you do not, within a reasonable time, allow us to activate the Product or deliver any service or digital content associated with it; or

12.1.3 you otherwise seriously breach these Terms.

12.2 Your obligation to compensate us if you break the Contract. If we end the contract in the situations set out in clause 13.1 We may end any Contract if you break it, we may charge you reasonable compensation for the net costs we will incur as a result of your breaking the Contract.

13 YOUR RIGHTS TO END THE CONTRACT BEFORE THE END OF ITS TERM

13.1 Your right to end your Contract with us. Your rights when you end the Contract will depend on the Product that you have purchased, whether there is anything wrong with it, how we are performing and when you decide to end the Contract:

13.1.1 if your Product is faulty or misdescribed you may have a legal right to end the Contract (or have the problem with the Product resolved or the activation service re-performed or to get some or all of your money back), see clause 13.3 How to end the Contract with us.

13.1.2 if you want to end the Contract because of something we have done or have told you we are going to do, see clause 13.2 Ending the Contract because of something we have done or are going to do.

13.2 Ending the Contract because of something we have done or are going to do. If you are ending the Contract for a reason set out at sub-clause 14.2.1 to 14.2.5 below the Contract will end immediately and we will refund you in full for any Products which have not been provided and you may also be entitled to compensation. The reasons are:

13.2.1 we have told you about an upcoming change to the Product or these Terms which you do not agree to (see clause 9 Changes to your Contract);

13.2.2 we have told you about an error in the price or description of the Product you have ordered and you do not wish to proceed;

13.2.3 there is a risk that activation of the Product may be significantly delayed because of events outside our control;

13.2.4 we have suspended supply of the Product for technical reasons, or notify you we are going to suspend them for technical reasons, in each case for a period of more than 14 days; or

13.2.5 you have a legal right to end the Contract because of something we have done wrong.

13.3 How to end the Contract with us. To end the Contract with us, please let us know by contacting us using a method given in clause 1.2 How to contact us.

14 OUR LIABILITY TO YOU

14.1 Our liability to you. If we do not comply with the Contract, we are responsible for loss or damage you suffer that is a foreseeable result of our breaching any term or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the Contract is made, both we and you know it might happen, for example, if you discuss it with us before you purchase any Product .

14.2 We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or sub-contractors; for fraud or fraudulent misrepresentation; or for breach of your consumer rights in relation to any Product.

14.3 We are not liable for data. We do not make any guarantee that information and data provided via any Audi Connect Product and Services are accurate or up to date, and we are not liable for any reliance that you place on such data or information.

14.4 When we are liable for damage to your Vehicle. If defective digital content which we have supplied as part of a Product damages a device or digital content belonging to you or installed in the Vehicle, and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation.

14.5 We are not liable for business losses. Products are supplied for domestic and private use only. If you use your Product for any commercial, business or re-sale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

15 OTHER IMPORTANT TERMS

15.1 Reliance on these Terms. Audi UK intends to rely on these Terms and any document expressly referred to in it. Audi UK and you will be legally bound by these terms.

15.2 Events or circumstances beyond Audi UK’s reasonable control. If Audi UK is prevented or delayed from complying with its obligations under the Contract by anything you (or anyone acting on your behalf) do or fail to do or due to events or circumstances beyond Audi UK’s reasonable control, its inability or delay in performing its obligations will not be treated as Audi UK breaching these Terms.

15.3 If a court finds part of these Terms illegal, the rest will continue in force. Each of the clauses of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining clauses will remain in full force and effect.

15.4 Audi UK may transfer these Terms to someone else. We may transfer, assign or subcontract any of our rights and obligations under these Terms to another organisation, including to any of our group companies

15.5 Even if Audi UK delays enforcing these Terms, we can still enforce it later. If Audi UK does not insist immediately that you do anything you are required to do under these Terms, or if Audi UK delays in taking steps against you in respect of you breaking these Terms, that will not mean that you do not have to do those things and it will not prevent Audi UK taking steps against you at a later date.

15.6 Your obligations to comply with applicable laws. You must comply with export control laws relating to imports, exports, re-exports or in-country transfers of any Audi Connect Products and Services. You are responsible for making sure you are not prevented from receiving and using any Audi Connect Products and Services and related software and technology. If we believe that you are not entitled to receive the Audi Connect Products and Services or we may block access.

15.7 Nobody else has any rights under these Terms. These Terms are between you and Audi UK. No other person shall have any rights to enforce any of its terms. Neither you nor Audi UK will need to get the agreement of any other person in order to end these Terms or make any changes to these Terms.

15.8 Which laws apply to these Terms and where you may bring legal proceedings. These Terms are governed by English law and you can bring legal proceedings in respect of these Terms in the English courts. If you live in Scotland you can bring legal proceedings in respect of these Terms in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of these Terms in either the Northern Irish or the English courts. If you live in the Channel Islands you can bring legal proceedings in respect of these Terms in either the Channel Islands or the English courts. None of the terms and conditions in these Terms affect your rights as a consumer to rely on mandatory provisions of the law of the country in which you live.

15.1 Alternative dispute resolution. Alternative dispute resolution is a process where an independent body considers the facts of a dispute and seeks to resolve it, without you having to go to court. If you are not happy with how Audi UK has handled any complaint, you may want to contact the alternative dispute resolution providers we use. You can refer a dispute to Motor Codes Limited (“Motor Codes”). Further details can be found at https://www.themotorombudsman.org/ or alternatively you may wish to contact their advice line on 0843 910 9000. Motor Codes will not charge you for referring a dispute (although you may pay an additional amount for any call to them) and if you are not satisfied with the outcome you can still bring legal proceedings. In addition, please note that disputes may be submitted for online resolution to the European Commission Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16 AUDI CONNECT SPECIFIC TERMS AND CONDITIONS

16.1 Audi Connect is a specific product line of Audi Connect Products and Services, which include:

16.1.1 Audi Connect Infotainment Services;

16.1.2 Audi Electric vehicle services; and

16.1.3 Audi Connect ‘Safety and Service’ Services (comprising of myService and myCarManager),

together referred to as “Audi Connect Services”

16.2 The provider of Audi Connect Services.is Audi AG, Auto-Uniion-Strasse 1, 85057 Ingolstadt, Germany.

16.3 Clauses 1 to 15 of these Terms apply to the use of Connect Services. Additional terms and conditions also apply to the use of Connect Services in addition to these Terms. 16.4 Where your Vehicle is installed with a navigation system “MMI Navigation plus”, the right to use certain Audi Connect Services may be included for a fixed term, and may be subject to an additional payment.

16.5 The right to use certain Audi Connect Services may be subject to technical requirements and/or use of equipment, which may be included for a fixed term, and may be subject to an additional payment.

16.6 Availability and performance of Audi Connect Services may be affected by certain factors as set out in the Connect Services Terms. Neither Audi UK nor Audi AG shall be liable to you for any non-availability or performance issues with any Connect Services.

16.7 Some Audi Connect Service require you to register as a Primary or Secondary User. Details of whether registration is required is set out within the description and/or disclaimer for the Audi Connect Service within myAudi Shops.

16.8 If you sell or transfer ownership of your Vehicle, you must inform the buyer about all Audi Connect services, that are active or have been set in Privacy Mode, their (remaining) terms as well as about these Terms of Sale and Use and any applicable special terms of use.

16.9 If there is any inconsistency between these Terms and the Connect Services Terms, then the Connect Services Terms shall take precedence to the extent necessary to avoid the inconsistency.
